Disclaimer/Contract

Introduction: This Service Agreement (“Agreement”) is entered into by and between Pagel Services (“Provider”) and the

subscribing entity or individual (“Client”), collectively referred to as “Parties.

” By subscribing to the QR Maintenance

Tracking (“Service”), the Client agrees to the following terms and conditions.

1. Service Description: The Provider will supply QR codes for equipment or assets, which, when scanned, connect to a

digital log for maintenance record-keeping. The Service includes the following tiers:

Tier 1: Up to 10 assets + Monthly fee

Tier 2: Up to 25 assets + Monthly fee

Tier 3: Up to 50 assets + Monthly fee

Tier 4: Up to 100 assets + Monthly fee

Tier 5: Custom solutions exceeding 100 assets please email sales@pagelservices.net

Each tier includes:

Hosting and access to maintenance records

Monthly updates (if applicable)

Technical support during standard business hours

2. Subscription and Fees: The Client agrees to pay a monthly subscription fee based on the selected tier. Fees are subject

to the following conditions:

Payments are due on the first day of each month.

Late payments may result in suspension of the Service.

Tier adjustments can be requested and will be prorated based on the change date.

3. Disclaimer:

The Provider is not liable for inaccuracies in the maintenance logs entered by the Client or its representatives.

The Service is intended to assist in record-keeping and does not replace regular maintenance, inspections, or other due

diligence.

The Provider is not responsible for any equipment failures, damages, or losses resulting from reliance on the

maintenance log or the QR Code Service.

4. Data Responsibility:

The Client is responsible for entering, updating, and managing all maintenance records associated with the Service.

The Provider will implement reasonable measures to secure the data but cannot guarantee protection against all

cybersecurity risks.

5. Term and Termination:

The Service is provided via an up front cost plus on a month-to-month basis unless otherwise agreed in writing.

Either Party may terminate this Agreement with 30 days’ written notice.

The Provider reserves the right to terminate the Service immediately in cases of non-payment, misuse, or violation of

this Agreement.

6. Limitation of Liability:

The Provider’s liability for any claim arising from this Service shall not exceed the total amount paid by the Client in the

preceding three months.

The Provider is not liable for indirect, incidental, or consequential damages, including loss of revenue or data.

7. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of

Wisconsin.

8. Amendments: The Provider reserves the right to update or amend this Agreement. Clients will be notified of changes

via email or an online portal at least 30 days before changes take effect.

9. Client Acknowledgment: By subscribing to the Service, the Client acknowledges that they have read and understood

this Agreement and agree to be bound by its terms.
